Stockbot Terms of Service

  1. 1

    Who we are and how these terms work

    • These Terms of Service (the "Terms") form a binding agreement between you and Stockbot LLC ("Stockbot," "we," "us," or "our") when you create an account, purchase a plan, or otherwise use our websites, apps, dashboards, emails, or other services (collectively, the "Service").
    • By using the Service, you agree to these Terms, our Privacy Policy (stockbot.com/Privacy), and our Disclaimers (stockbot.com/Disclaimers). If you do not agree, do not use the Service.
    • Eligibility: You must be at least 18 years old and legally able to form a contract. You represent that you are not barred from receiving the Service under applicable law (including sanctions, export, or securities rules).

    What we provide (license and scope)

    • License. Subject to your compliance with these Terms and payment of fees, Stockbot grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service and our content (including dashboards, charts, signals, emails, bots pages, "Momentum Lab," and similar content) for your own educational and personal research use.
    • Educational use only; no advice. Stockbot does not provide investment, financial, tax, or legal advice. Our content and signals are for education and research. You are solely responsible for trading or investment decisions. See our Disclaimers for important risk, hypothetical results, and futures disclosures.
    • Not a broker, adviser, or CTA. We are not your fiduciary, are not a registered investment adviser, broker-dealer, or commodity trading advisor, and do not execute trades.

    Your account and security

    • Registration. Provide accurate information and keep it current. You are responsible for all activity under your account.
    • Security. Keep your password confidential, use a secure device, and notify support@stockbot.com of any unauthorized access. You consent to receive required notices and transactional messages at your registered email.
    • Verification. We may require email verification and use anti-abuse tools (for example, reCAPTCHA). Failure to complete verification may limit access.

    Plans, payments, auto-renewal, and taxes

    • Billing via Stripe. Subscriptions are billed by our payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method for the plan and cadence you select (for example, monthly or annual).
    • Auto-renewal. Your plan renews automatically at the then-current price until you cancel. We may change prices or plan features with reasonable notice; price changes take effect on the next renewal.
    • How to cancel. You can cancel any time from your Account page by selecting "Manage in Stripe" or by contacting support@stockbot.com. Cancellation stops future charges; access continues through the end of the current paid term. We do not prorate unused time unless required by law.
    • Trials and promotions. If a free trial or promotional rate is shown on your checkout page, the specific terms there apply. When a trial ends, the subscription converts to a paid plan unless you cancel before the trial ends.
    • Refunds. Unless stated otherwise on the checkout page or required by law, all fees are nonrefundable. We may consider good-faith refund requests case-by-case at our sole discretion. To request help, email support@stockbot.com.
    • Taxes. Prices exclude taxes unless stated. You are responsible for all applicable taxes, duties, and similar charges.
    • Payment issues. If a renewal charge fails, we may suspend or limit access until payment is resolved. We may send notices and provide a renewal link for you to re-activate.

    Data freshness, availability, and third-party services

    • Update cadence. Most views update on a daily, end-of-day basis; some futures analytics update ahead of the U.S. session. Data and signals are not real-time and may be delayed, missing, or stale. Our Data Freshness monitoring treats data older than one trading day (weekends excluded) as stale, but availability is not guaranteed.
    • No uptime guarantee. The Service may be interrupted, delayed, or experience errors. We may modify, suspend, or discontinue features, dashboards, or instruments at any time.
    • Third parties. We use providers such as Stripe (billing), TradingView (charting), analytics, email, and anti-abuse tools. Their terms and privacy policies apply to your use of those components.

    Acceptable use and restrictions

    You agree you will not:

    • Share, resell, sublicense, publicly post, or redistribute our dashboards, signals, emails, screenshots, metrics, or other content outside your personal research use.
    • Scrape, harvest, spider, or use automated means to extract data or attempt to reverse engineer, copy, or clone our models, databases, or user interface.
    • Circumvent access controls (including reCAPTCHA), rate limits, or paywalls; attempt to gain unauthorized access; or test system vulnerabilities without written permission.
    • Use the Service to build, train, or improve a competing product or model, or to publish our outputs as your own.
    • Upload malware; engage in fraud, market manipulation, or any unlawful, infringing, or abusive activity; or violate exchange or market-data vendor rules.
    • Share your login beyond your household team seat (unless your plan explicitly provides multi-seat access). We may limit concurrent sessions and revoke access for credential sharing.

    We reserve the right to investigate and enforce these restrictions, including suspension or termination.

    Intellectual property

    • Ownership. The Service, software, code, models, dashboards, documentation, and all content are owned by Stockbot or its licensors and are protected by intellectual property and trade secret laws. Except for the limited license above, no rights are granted.
    • Feedback. If you send suggestions or feedback, we may use them without restriction or payment.

    Educational and risk disclosures

    • Markets are risky. Trading involves risk of loss, including losses exceeding principal, especially in leveraged products (options, futures, margin, crypto). Past or hypothetical performance does not guarantee future results. You are solely responsible for risk controls, position sizing, costs, and execution quality.
    • Hypothetical/backtested results. Backtests and simulations have limitations and benefit from hindsight. Real outcomes can differ materially due to costs, slippage, liquidity, and behavior under stress.

    Term; suspension; termination

    • Term. These Terms remain in effect while you use the Service. You may stop using the Service at any time and cancel per Section 4.
    • Our rights. We may suspend or terminate access (with or without notice) if you violate these Terms, fail to pay, share credentials, misuse the Service, or create risk for us or others. We may also remove or modify content or features.
    • Effect of termination. If we terminate for cause, you are not entitled to a refund. Sections that by their nature should survive will survive (for example, intellectual property, disclaimers, limitations, governing law).

    Disclaimers; limitation of liability; indemnity

    • Disclaimers. The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that signals or content are correct, timely, or error-free.
    • Limitation of liability. To the maximum extent permitted by law, Stockbot and its affiliates, officers, employees, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; loss of data; or business interruption, even if advised of the possibility. Our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid to Stockbot for the three months before the event giving rise to liability, or (b) one hundred U.S. dollars ($100).
    • Indemnity. You will defend, indemnify, and hold harmless Stockbot from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content or trading, or your violation of these Terms or law.

    User content and conduct

    If you provide content (for example, profile data or preferences), you grant us a non-exclusive license to use it to operate and improve the Service. Do not upload anything you do not have rights to share. You remain responsible for your conduct.

    Communications and preferences

    We may send you account, security, billing, and service emails. You can manage marketing and alert preferences in your Account, but we may still send necessary transactional messages.

    Compliance and export

    You must comply with all applicable laws and regulations, including United States export, sanctions, anti-money-laundering, and securities laws. You will not use the Service in jurisdictions where it is illegal or for illegal purposes.

    Changes to these Terms

    We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or an in-app banner). Updated Terms become effective on the stated date and apply going forward. Continued use means you accept the changes.

    Dispute resolution; governing law

    • Informal resolution. Before filing a claim, contact support@stockbot.com so we can try to resolve the issue informally within 30 days.
    • Governing law and venue. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Subject to the arbitration option below, exclusive jurisdiction and venue lie in the state and federal courts located in Florida, and you consent to personal jurisdiction there.
    • Optional arbitration and class waiver (optional - consult counsel). Any dispute not resolved informally will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) in Florida, in English, on an individual basis only; class actions and jury trials are waived. You may opt out within 30 days of first acceptance by emailing compliance@stockbot.com with subject "Arbitration Opt-Out" and your registered email.

    Miscellaneous

    • Entire agreement. These Terms, the Privacy Policy, and the Disclaimers are the entire agreement and supersede prior or contemporaneous understandings.
    • Assignment. You may not assign these Terms without our written consent. We may assign to an affiliate or successor.
    • Severability; waiver. If any provision is unenforceable, the remaining terms remain in effect. Failure to enforce is not a waiver.
    • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
    • Notices. We may provide notices via the Service, email, or your Account.

Appendix A - Plan-specific terms and policies

  • Tier features. Plan features and instrument coverage (for example, Basic, Pro, Elite; stocks/ETFs/futures; "Momentum Lab") are described on the pricing page and may change over time.
  • Alerts and digests. Email alerts and digests are optional and depend on your preferences and plan. Delivery is not guaranteed and is not real-time.
  • Fair use. We may impose reasonable usage, rate limits, or concurrent session limits to protect the platform.
  • Refund policy (customize). Unless stated otherwise at checkout, fees are nonrefundable. First-time subscribers may request a goodwill refund within [7/14] days of the initial charge by contacting support@stockbot.com; repeated or abusive refund requests may be denied. Annual plans are nonrefundable after [7/14] days. This paragraph does not limit statutory rights where applicable.

Appendix B - Intellectual property and market-data notices

  • Market data, charts, indicators, and analytics may be sourced from or displayed through third parties (for example, TradingView, exchanges, index providers). Additional terms from those vendors may apply, and redistribution is prohibited.
  • You may not copy, mirror, or publish our content or model outputs to public sites, feeds, social media, or products without written permission.
